We construct an example of a two dimensional matrix field theory theory that exhibits asymptotic freedom. This model example is the matrix analogue of the two dimensional BCS super conductor. We analyze the Planar large N limit of this field theory and show that certain questions related to its ground state; namely the existence or the lack of a mass gap in the spectrum; can be answered by studying a ``One Matrix Model'' with a non-polynomial potential. This one matrix model associated with the matrix field theory is shown to describe the effective potential of the full theory. .
