Pulse arrival-time delays from PSR1257+12 suggest the existence of at least two planets in nearly circular orbits around it. We show that it is very unlikely that the planets were formed before the formation of the Millisecond-Pulsar. We conclude that formation of such planets may occur in a very late phase of Low-Mass X-Ray Binary or Binary millisecond-pulsar evolution. Evaporation of the companion star in these phases may supply matter to a circumbinary excretion disk in which the physical conditions, similar to those appropriate for the binary millisecond pulsar 1957+20, may allow the subsequent formation of the planets.
