We present the simultaneous ASCA and BATSE spectra of the ``low-hard'' state of Cyg-X1 and 1E1740.7 for several epochs in 1993 and 1994. We model the broad-band spectral data with the Sunyaev-Titarchuk (ST) inverse Compton model. The best-fit parameters are consistent with a temperature range of 29 keV-57 keV and an energy index of 0.47-0.84. These correspond to Komponeet parameter y of 1.2-2.5 and Thomson depth of 1.6-3.3, consistent with past observations.
