We present Suzaku X-ray observations of the nucleus and a bright transient ULX in the Type 2 Seyfert galaxy NGC4945.
NGC4945 is the brightest Seyfert 2 AGN at energies above 20 keV. The AGN power law is heavily absorbed but dominates above 15 keV. The spectrum of the ULX transient is also presented (7 exp(39) ergs/s)
