It is shown that a gas consisting of random-phased high-frequency
whistler wave packets can become modulationally unstable with respect to
low-frequency magneto-acoustic perturbations. The growth rate and
threshold of the instability are calculated. The relevance of the
instability to ULF emissions in the magnetosphere is discussed.
