We report the broad band, near continuous spectral evolution of Cyg X-1 during its 1996 soft state transition, observed with ASM/RXTE (1.3-12 keV) and BATSE/CGRO (20-2000 keV). The spectra above 20 keV can be well described by a power law with an exponential cutoff. During the hard to soft state transition the power law became steeper and the cutoff energy became higher, and vise versa during the soft to hard state transition. In the middle of the soft state, there is no evidence for any spectral break up to at least 250 keV.
