The noncomplanar steady relative motions of two gravitating material bodies are studied. The sufficient conditions of orbital stability and instability for the steady motions of the body with spherically symmetric density distributions are derived and investigated. The plane of the circular orbit of the mass center of this body generally does not contain the mass center of the axisymmetric body. Attention is given to the steady motions during which the axisymmetric body accomplishes a regular precession with a rather small nutation angle, as well as to the case of comparatively large distances between the bodies.
