The translatory-rotary motion of two mutually attracting axisymmetric gravitating spheroids is analyzed on the assumption that their interaction obeys Newton's law. The equations of motions are formulated through canonical osculating Delaunay-Andoyer elements. The Gaussian averaging method is used to obtain simplified equations of motion for two gravitating bodies in which ellipsoids of inertia slightly differ from those of a sphere.
