We present a quasilinear theory for the ``thermalization'' of the proton and helium ions downstream of the quasi-perpendicular Earth's bow shock and for the associated ion-cyclotron waves. The residual ion temperature anisotropy, the wave polarization, and the magnetic fluctuation power and spectrum far downstream are predicted by the theory. The results are compared with the AMPTE/IRM data documented by Sckopke et al.. These data are obtained at marginally supercritical shock crossings where we expect the quasilinear approximation to be valid. The agreement with the observations is generally very good if wave dispersion and the temperature of the transmitted protons are included. The helium contribution to the waves excited downstream of the shock is also estimated.
