We study topological matter minimally coupled to gravity in 2+1
dimensions. We show that the resulting system has a finite-dimensional
physical phase space that can be exactly quantized. The model exhibits
the mixing of ``gravity'' and ``matter'' degrees of freedom, and the
impossibility of treating them independently.
