Optical long-slit absorption-line spectra together with H I synthesis observations of the edge-on spiral galaxy NGC 5170 are presented. From these data the optical and radio rotation curves are determined as well as the stellar velocity dispersion as function of radius for the inner parts of the galaxy. Two methods are used to determine the actual stellar velocity disperion in this galaxy: one is to compare both rotation curves; the resulting asymmetrical drift can be used to calculate the dispersion. The second is a direct comparison between the observed and an assumed velocity dispersion for a model galaxy. The resulting velocity dispersion in the radial direction is 75 + or - 13 km/s at a radius of 0.8 times the photometric scale-length. This is about 35 percent of the value of the rational velocity at that radius. Preliminary photometry suggests an M/L ratio for the old disk population of 12 + or - 4 for Q = 2, or Q = 4 + or - 1.5 for M/L = 6.
