We present the X-ray, IR, and morphological properties of a sample of 13 MIR-luminous IR-bright/optically-faint galaxies (f[24um]/f[R] > 1000). These z 2 sources were drawn from the CDF-N, CDF-S, E-CDFS, and EGS to ensure deep X-ray coverage (Tx > 200 ks). While we do not require that they be X-ray detected, 7 of the 13 sources have clear X-ray counterparts, and 3 additional sources are weakly detected in the X-ray. Spitzer IRS spectra confirm that all of the sources are AGN-dominated in the mid-IR (although half also display PAH emission suggestive of star-formation rates in the ULIRG range), and X-ray hardness ratios and MIR to X-ray flux ratios suggest that this sample is comprised of heavily X-ray obscured AGN, nearly 50% of which are strong Compton-thick candidates. Furthermore, at least 40% of the sample have absorption-corrected X-ray luminosities of log (Lx (ergs/s)) > 44, indicating that they are Type 2 QSOs. Finally, over 50% of the IR-bright/optically-faint galaxies exhibit asymmetries indicative of mergers, similar to the rate of mergers amongst SMGs at similar redshifts, although they appear to be physically smaller than SMGs. These characteristics are consistent with the proposal that IR-bright/optically-faint galaxies represent the heavily-obscured, AGN-dominated, and more dynamically-relaxed evolutionary phase following soon after the star-formation-dominated one represented by SMGs.
