This paper presents spatially resolved imaging and spectroscopy of the quasar 3C245 and a companion galaxy found 2.3 arcseconds SE of it with a redshift z= 1.013. The velocity difference between the two objects is close to 3000 km/s. The spectrum of this companion shows a continuum typical of bright giant elliptical galaxies with Calcium absorption lines and a 4000 A break, to which is superimposed a emission line spectrum including [OII] 3727A. It is resolved, and our images are best fit by a r^1/4^ luminosity distribution with r_eff_= 4.4 kpc. With a absolute magnitude of -22.4 in V (H_0_= 50 km/s, q_0_ = 0, no k correction) this galaxy is almost as bright as some 3CR radio-galaxies in the same redshift rage. With no radio emission detected down to the 3 mJy level at 18 cm, this is the first radio-quiet giant elliptical galaxy found at a redshift greater than one. We suggest that the galaxy and the QSO are part of the same cluster or super-cluster of galaxies at z~1.O2.
